1. Acceptance of Terms By accessing or using the website benthicspectral.com (the “Site”), requesting quotations, placing orders, downloading materials, or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Site or our services.

2. Company Information Benthic Spectral Inc. is a Delaware C-Corporation with principal offices at Plainwell, Michigan, USA. All references to “we,” “us,” or “our” refer to Benthic Spectral Inc.

3. Use of the Site

The Site and its content are for informational and commercial purposes only.
You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
You agree not to use the Site for any unlawful purpose or prohibited activity.

4. Products & Services All underwater hyperspectral imaging systems, variable-temperature LED lighting, cameras, tow sleds, rentals, consulting, and data services are sold or licensed subject to separate quotations, purchase orders, or service agreements that will prevail over these Terms in case of conflict.

5. Pricing & Payment

Prices are quoted in U.S. dollars, ex-works Plainwell, MI, unless otherwise stated.
Payment terms are 50 % upon order, 50 % prior to shipment unless credit terms are pre-approved.
We reserve the right to change pricing without notice until an order is confirmed.

6. Intellectual Property All content, designs, provisional patents, trademarks (including “Sonar shows you where something is, hyperspectral tells you what it is™”), hyperspectral data examples, and software remain the exclusive property of Benthic Spectral Inc. Limited demonstration data may be used for evaluation under NDA only.

7. Export Control & ITAR Certain products and technical data are subject to U.S. Export Administration Regulations (EAR) and/or International Traffic in Arms Regulations (ITAR). Buyer is responsible for compliance with all applicable export laws.

8. Limitation of Liability To the maximum extent permitted by law, Benthic Spectral Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility.

9. Warranty Disclaimer The Site and all downloadable materials are provided “as is.” Products carry only the limited warranty stated in the applicable quotation or purchase order. We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.

10. Governing Law & Jurisdiction These Terms shall be governed by the laws of the State of Michigan, USA, without regard to conflict of law principles. Exclusive venue for any dispute shall be the state or federal courts located in Kalamazoo County, Michigan.

11. Changes to Terms We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance of the revised terms.
